$1,000,000 GRIDIRON PICK'EM OFFICIAL RULES

1. No purchase is necessary to participate or win.

2. We will only accept one entry per person and one entry per e-mail address. We will only accept two entries per residential address.

3. PROMOTIONAL PERIOD. The Promotion begins at 12:01 AM EST on August 8, 2008 and ends at the conclusion of the 2008-2009 Pro Football Championship Game.

4. HOW TO ENTER. Visit any one of our Sites and click on the "$1,000,000 Gridiron Pick'em" promotion link. Complete the online registration form using your legal name if you have not already registered. All fields must be entered accurately for your entry to be valid. You must update this information as necessary to remain eligible to win.

5. HOW TO PLAY AND WIN. This Promotion has two parts. Part One takes place during the 2008 Pro Football Regular Season. Part Two takes place during the 2008-2009 Pro Football Playoff games. The Grand Prize and Playoff Consolation Prizes can only be won during Part Two of the Promotion. Only the 17 Weekly Winners and Top 3 Entrants in the Overall Standings from Part One shall be eligible to compete in Part Two. If one or more of the top 3 entrants in the Overall standings from Part One have already qualified for Part 2 by virtue of being a Weekly winner, the next best ranking entrant(s) overall will qualify for Part Two (however the Regular Season Overall Prizes will be awarded strictly to the top 3 entrants overall in Part One regardless of whether or not those entrants also won a weekly prize). A total of 20 entrants shall be eligible to participate in Part Two.

6. PART ONE. Part One of the Promotion is played during the 17 weeks encompassing the 2008 Pro Football regular season only. For the full schedule see the Schedule page.

• Make your picks each Week using the Enter/Change Picks page. Select the team that you think will win each game.
• Then assign each of your picks a ranking based on how confident you are in that team winning. Give your most certain pick a rank of 16, your next most certain 15, down to your least certain pick which would be given a rank of 1.
• Confirm your selections using the submit button at the bottom of the page.
• Follow all additional instructions listed on that page, observing all posted deadlines.
• You will also be asked to predict the number of points scored by the Home and Visiting teams in a selected game (Monday night except Week 17 in which one of the Sunday games will be used) which will serve as the Tie Breakers in the event of a tie. The Home team score will be used as the first tie-breaker and the Visiting team score as the second tie-breaker (with closer being better). Finally, if there are still ties, then the Contestant whose picks were submitted earlier will be ranked better.
• If you submit your picks and then change them, we will use the time we received your last set of picks to break ties.
• Decisions of the judges are final. Each week there will only be one winner. There will be 20 winning entrants for the entire Part One of the Promotion comprised of the 17 weekly winners and the top 3 entrants in the overall standings.
• Each weekly winner will receive one Weekly Prize (US $100 prize) and one entry into Part Two of the Promotion. In the event of a repeat weekly winner, that entrant will win another US $100 prize but the next best ranking entrant for that week, who has not won previously, will win entry into Part Two of the Promotion. The top 3 entrants overall will receive the Regular Season Overall Prizes based on rank as described in the Prizes section below. In the event one or more of the top 3 entrants has already qualified for Part Two as a weekly winner, the next best ranking entrant(s) overall will also qualify for Part Two but will receive no other prize from Part One.
• If a game is canceled, postponed or ends in a tie, all contestants will earn 0 points in that game. Your last entry that we receive before the deadline will be the only entry we shall consider as valid.
• The deadline for entering and/or changing submissions is posted on the Enter/Change Picks page for each week. No submissions will be accepted after the deadline for any reason. The sole determinant of time for the purposes of the Promotion will be our servers.
• You may change your picks any time before the deadline.
• Each of the weights from 16 to 1 can only be used once each week.
• Every week the weights will start at 16. In weeks containing 13 games you will weight the games from 16 down to 4 (all 2008 regular season games ARE included, including any played on Thursdays).
• Your standing in the Weekly Promotion for Part One of the Promotion will be determined by the number of points that you accumulate in any single week during Part One of the Promotion for the purposes of any of the weekly prizes. You will receive points based on the weight that you assign each winning selection. If you correctly predict every game in a 16 game week you would receive 136 points (16+15+14+...+3+2+1).
• Your standing in the Overall Promotion for Part One of the Promotion will be determined by the number of points that you accumulate from all weeks in which you participate. In the event of a tie at the end of the season, the contestant with the best rank in the final week will be considered to be ranked better overall.
• Ties for weekly prizes will be broken by the answer to the tie-breaking question(s). The Home team score will be used as the first tie-breaker and the Visiting team score as the second tie-breaker (with closer being better). If still tied, ties will be broken by time of entry with earlier being better. Note that if you submit your picks and then change them, we will use the time we received your last set of picks to break ties.

7. PART TWO. 20 entrants from Part One of the Promotion will receive one entry into Part Two. The 20 entrants into Part Two are the only entrants who are eligible to win the Grand Prize and Playoff Consolation prizes.

• If you are an eligible entrant to Part Two, you will have the opportunity to pick the winning team against the spread in 11 (eleven) Pro Football playoff games and the over/under in the Pro Football championship game. We will announce the games and the teams to pick at a later date. Your picks must be made against a spread or over/under total which we will also announce, and which may not be the same spread or over/under total that we are accepting wagers on for that same game.
• Entries must be received by the earlier of (a) the entry close time we post on the entry form or (b) 30 minutes before the earliest scheduled start time of the scheduled Pro Football games for the Designated Week. Entries received after the entry close times noted above will be disqualified.
• The three eligible entrants with the greatest number of correct predictions (out of 12) will win the Playoff Consolation Prizes. An eligible entrant who correctly predicts all 11 out of 11 games against the spread and the over/under for the championship game will also win the Grand Prize.
• In regards to the Playoff Consolation Prizes, ties will be broken by the answers to the tie-breaking questions. If still tied, ties will be broken by time of entry with earlier being better.

8. PRIZES. A maximum of one (1) Grand Prize is available to be won. The Grand Prize is a US $1,000,000 annuity payable over 40 years. The annuity will be from an A.M. Best rated A or A+ Life Reserve Life Insurance Company of our choice or a similar investment grade financial instrument. In the event of multiple verified winners of the Grand Prize, a single Grand Prize will be divided equally among such winners. If no Contestant correctly predicts the outcome, against the spread, of each of the 11 Pro Football playoff games and the over/under for the Pro Football championship game then no Grand Prize will be awarded. However the top three contestants of the Playoff portion will win the Playoff Consolation Prizes. The three entrants with the greatest number of correct predictions (out of 12) in Part Two will win the following Playoff Consolation Prizes based on their rank:

• the first prize is a 50 inch Plasma TV;
• the second prize is an Apple iPhone;
• and the third prize is a Nintendo Wii.

There is only one (1) first prize, one (1) second prize and one (1) third prize available to be won in Part Two.

The three entrants with the greatest number of points overall in Part One will win the following Regular Season Overall Prizes based on their rank:

• The first prize is a trip to the 2009 Pro Football All Star Game in Hawaii (consisting of up to US $2,000 towards airfare to Hawaii, 2 nights hotel accommodations, and cash payment which may be applied towards 2 tickets to the 2009 Pro Football All Star Game; due to Pro Football All Star Game ticket restrictions we cannot award game tickets as prizes but at the winner's request we may help the winner arrange the purchase of two suitable tickets from a third party);
• the second prize is a 50 inch Plasma TV;
• and the third prize is an Apple iPhone.

There is only one (1) first prize, one (1) second prize and one (1) third prize available to be won in Part One. In the event of a tie at the end of the season, the contestant with the best rank in the final week will be considered to be ranked better overall.

The Weekly Winners in Part One will each win a US $100 prize plus one entry into Part Two of the Promotion. There are seventeen (17) US $100 prizes are available to be won in Part One.

UNCLAIMED PRIZES SHALL NOT BE AWARDED. NO SUBSTITUTION, TRANSFER OR ASSIGNMENT OF PRIZES SHALL BE ACCOMMODATED OR PERMITTED.

9. ODDS OF WINNING. This Promotion is a game of skill and knowledge. The number of qualified entries received affects your odds of winning.

10. DETERMINATION OF WINNERS. Awarding of prizes is subject to validation and eligibility verification. The data stored on the computer systems of our prize supplier/underwriter is the sole determinant of all picks, as well as all information provided by you as part of such attempt. An entry shall be deemed submitted by the holder of the e-mail account. A potential winner may be required to provide us with proof that the potential winner is the authorized account holder of the electronic mail address associated with the potential winning entry.

11. NOTIFICATION OF WINNERS. Winners of any prize shall be notified by email and shall be required to sign, notarize and return by fax an Affidavit of Eligibility and Publicity/Liability Release within five (5) days of notification. This Affidavit must be complete and be attached to a copy of winner's drivers license, passport or national identity card and if the winner is a US resident the Affidavit must include the winner's social security or resident alien identification number. The information in winner's Affidavit must be correct and must mirror the information provided in winner's entry or winner is disqualified. If winner(s) cannot be contacted, is ineligible, fails to claim a prize or fails to return the completed and executed Affidavit/Release as required, or if the Prize Notification or prize is returned as undeliverable, the prize shall be forfeited.

12. E-MAIL INFORMATION. You shall receive an email confirming your registration and subsequent entry in the Promotion, several email newsletters and an email with the results of the Promotion after the Promotion is over. You shall also be subscribed to a monthly newsletter.

13. WINNERS LIST. After the conclusion of the Promotion, a winners list will be posted on our site for a minimum of thirty days.
